1. Acceptance of Terms

By accessing or using IDM Crawler, IDM WebApp, IDM Extension, or our website (collectively, the "Services"), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use our Services.

We reserve the right to update these Terms at any time. Continued use of the Services constitutes acceptance of any changes.

To access certain features (cloud uploads, exports, team collaboration), you must create an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and account.
• Accept responsibility for all activities under your account.
• Notify us immediately of any unauthorized access.

You may delete your account at any time by contacting support@idmartech.com.

4. Service Usage

4.1 Permitted Use

You may use IDM Services to audit and analyze websites you own or have explicit permission to audit. You agree to use the Services only for lawful purposes and in compliance with all applicable laws.

4.2 Prohibited Use

You may NOT use the Services to:

• Audit websites without proper authorization.
• Launch denial-of-service attacks or excessive crawling that disrupts websites.
• Reverse engineer, decompile, or extract source code from our applications.
• Resell or redistribute audit data without our written consent.
• Use the Services for illegal activities or to violate others' rights.

4.3 Crawling Limitations

IDM Crawler respects robots.txt and implements rate limiting. Users are expected to respect website terms of service and not overload target servers. We are not responsible for any consequences of unauthorized crawling.

5. Plans, Subscriptions & Billing

5.1 Free Plan (Starter)

The Starter plan is free and includes limited features (cloud storage for 1 project, up to 50 pages per crawl, local storage only). We reserve the right to modify free plan features with reasonable notice.

5.2 Paid Plans (Professional & Agency)

Paid plans require a subscription fee. Pricing is available on our website. All fees are:

• Billed in advance (monthly or annually).
• Non-refundable except as required by law.
• Subject to change with 30 days' notice.

5.3 Payment Processing (LemonSqueezy)

We use LemonSqueezy as our payment processor. By making a payment, you agree to:

• Provide accurate and complete payment information.
• Authorize LemonSqueezy to charge your selected payment method.
• Review and accept LemonSqueezy's Terms of Service and Privacy Policy.

5.4 Free Trials

We offer 14-day free trials for paid plans (Professional and Agency). To prevent service interruption, valid payment information is required to start a trial.

• No Immediate Charge: You will not be charged during the 14-day trial period.
• Conversion: At the end of the trial, your account will automatically convert to a paid subscription and your chosen payment method will be charged unless you cancel before the trial expires.
• Trial Limit: Free trials are limited to one per user or organization.

5.5 Subscription Cancellation

You may cancel your subscription at any time through your account settings or via the LemonSqueezy Customer Portal.

• Access to paid features continues until the end of the current billing period.
• No further payments will be charged after cancellation.
• Cloud data will be retained according to your plan's retention policy.
• After the billing period ends, your account will automatically revert to the Starter (Free) plan.

5.6 Refund Policy

Subscription fees are non-refundable. However, if you believe you were charged in error, please contact us within 14 days of the charge.

• Refunds are issued at IDM's sole discretion.
• No refunds for partial billing periods.
• To request a refund, email support@idmartech.com.

5.7 Payment Failures & Dunning

If your payment method fails, we will attempt to charge it again automatically. You have 7 days to update your payment information before your subscription is suspended.

• You will receive email notifications about payment failures.
• Suspended accounts lose access to paid features.
• Access is restored immediately upon successful payment.

6. Data Ownership & License

6.1 Your Audit Data

You retain full ownership of all audit data generated using IDM Services. We do not claim any ownership over your audit results.

6.2 License to IDM

By using our Services, you grant IDM a limited, non-exclusive, royalty-free license to process your audit data solely for the purpose of providing, maintaining, and improving the Services.

6.3 Our Intellectual Property

The IDM software, including the desktop application, web platform, browser extension, and all associated code, designs, and trademarks, are owned by IDM and protected by copyright and intellectual property laws.

8. Service Availability & Support

We strive to maintain 99.9% uptime for our cloud services. However, we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

• Starter Plan: Community support via forums and documentation.
• Professional Plan: Email support with 24-hour response time (business days).
• Agency Plan: Priority support with dedicated contact.

9. Limitation of Liability

To the maximum extent permitted by law, IDM shall not be liable for:

• Indirect, incidental, or consequential damages.
• Loss of data, revenue, or business opportunities.
• Damages arising from unauthorized access to your account.
• Issues caused by third-party services or websites you audit.

Our total liability shall not exceed the amount you paid us in the preceding 12 months, or $100 if you are on a free plan.

10. Indemnification

You agree to indemnify and hold IDM harmless from any claims, damages, or expenses arising from:

• Your use of the Services in violation of these Terms.
• Your violation of any applicable laws or third-party rights.
• Unauthorized crawling or auditing of websites.

11. Termination

We may suspend or terminate your access to the Services if you violate these Terms. Upon termination:

• Your right to use the Services immediately ceases.
• We may delete your cloud data after a reasonable notice period.
• You remain liable for any unpaid fees.

You may terminate your account at any time by contacting us or through account settings.

12. Governing Law

These Terms shall be governed by the laws of Sri Lanka, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts of Colombo, Sri Lanka.
